THE PROPOSAL/OFFER
1530 Gamble Place
Winnipeg, Manitoba, Canada

A short to the point, simple proposal. If they like it great! 

Let us know as soon as possible, and we will move forward

If they do not, we will continue to look for another suitable venue.

This may not be a traditional offer, but it is a proposal that will bring to the owners, far more than what the building is worth.

We will agree to purchase the space known as “1530 Gamble Place” in Winnipeg, Manitoba.

For the sum of $25,000,000.00 CDN

Approximately 384,600 sq. ft. inclusive of everything.

As we do not have $25,000,000.00 cash at this time, this is conditional on the following factors:

* That the proper zoning and all other requirements are able to be met.

* That we can pay for the total over the course of 5 years @ $5,00,000.00 per year.

    The cost of the building will be paid in full, between now and June 14, 2027, if we are able to sell out all of 2027,

     which will be our top priority – (the sooner we can start on that, the better for everyone).

* That we are able to use the building from July 15, 2025 – June 14, 2027, for preparation, planning, 5 or 6 promotional events,

    an awareness campaign, selling our sponsorships, tickets, and products, the architects to do their thing, etc. and some                  cosmetic construction of a few minor but necessary things. Like 3 stages.

 * That the use of some office furniture, and other such equipment be included, initially, 

     and that it will all be included, including the phone system, in the sales price, after it is paid in full.

* We would want the “lease to purchase agreement” to begin July 15, 2025. If a decision can be made that quickly, 

    Our project will start on June 14, 2027.

* With payment of the 1st Instalment of $5,000,000.00, on that date.

    or if possible, the full amount.

* We will not include any deposits of any kind, until that date. So, don’t ask.

 * That the bill of sale be provided to us, on the date, in which it is paid in full.

* We will make all renovations, at our expense, required within the first 3 years, to bring it to the standards that we require, to

    move forward.

 

* Bonus # 1:

1530 Gamble Place will not have to spend millions preparing it to lease out to other clients.

* Bonus # 2  

Music City Manitoba will agree to purchase one (1) Jean Jacket from any of their clothing lines, for every one that comes out to Music City Manitoba, on one of our Bus Trips, of any kind. 

Providing these Jackets be made to our specifications in regard to what we want on them (embroidery). 

We must also agree to the cost per unit, as well, as soon as possible.

This could amount to 

2576 Jackets per day x 312 days for up to 5 years or 803,712 per yr x 5 yrs = 4,018,560 Jackets or more. 

        Estimated:  $10,448,256.00 per year or about $52,241,280.00 in sales. Just to us.

         Everyone travelling to Music City Manitoba on any type of Motor Coach Trips will receive a MCM – “Silver Jacket”                               “Bootlegger”, “Work Warehouse” or whatever Denim Company you choose to use. (Where you can give us the best price).

           1120 people per day on Day Trips

            560 people per day on 3 Day/2 Night Trips

            560 people per day on 4 Day/3 Night Trips

            336 people per day on 6 Day/5 Night Trips

           2576 people per day arriving on Motor Coaches.

           Value estimated to be approximately $10,448,256.00 per year x 5 years.

(Plus, these Jackets will be available at our “Store” to all other people that do not come on the Motor Coaches. 

           (That is estimated to be another 2500 – 3250 people per day).

 

 
 * Bigger Bonus #  3

 

We will pay to 1530 Gamble Place, in an as is condition, a BONUS of $3.00 per Motor Coach ticket that we sell for a

period of the first 5 years, or until paid in full. 

Starting as soon as we sell the first Musci City Motor Coach Pass.

The BIGGER BONUS will amount to approximately:

At least 5000 seats available / 50% for Motor Coaches = 2500 seats per day.

2,500 tickets Motor Coach tickets per day x 312 days = 780,000 tickets  

* 780,000 tickets x $3.00  = $2,340,000.00 per year x 5 years = $11,700,000.00

This will be payable on a monthly basis. Starting on the day we sell the first Motor Coach Trip.

* Note: 6 Day, 5 Day, 4 Day, or 3 Day trips etc. are considered 1 Pass. Not 3, 4, 5, or 6.

This is over and above our lease / purchase agreement.

(Basically, just for the use of the building from today until June 14, 2027 – without any costs).


what we are looking for

The use of the space from now (when available), in an as is condition, until June 14, 2027,  to plan the layout of the whole square footage, architectural evaluation, a few cosmetic renovations, (temporary stages etc.), to begin selling a number of our “Sponsorships”, all our motor coach trips, and a number of promotional events to promote the fact that this will be the home of Music City Manitoba, and to create excitement and participation for the long – term goal, in what will be The Great Tourist, Entertainment, Tournament & Shopping Destination, in Canada.


We would not mind if the owners wanted to carry on all what they have going on there, 

from now to June 14, 2027, as long as we have the space to set up all what we have to get ready for, 

and to start marketing & selling our program.

We would just need an agreement in place so we know, we have the place and, can begin

 to make sure we meet all our financial obligations, that we have outlined.




the benefits

in selling this building to us

With the purchase price of $25,000,000.00 

+ A Bonus of approximately $11,700,000.00 

+ about $5,000,000.00 in Tax write offs in 5 years, 

+ The sale of up to 803,400 Jackets per year, estimated to be about $ 52,221,000 in 5 years. 

And the saving in the sale of the building to someone else. 

The owners will be receiving almost 4 times what the building is worth, paid in full within 5 years or much

 sooner. More than fair! 

Nothing to lose, everything to gain!

You will also be helping Manitoba in becoming the Most Desired Tourist Destination In Canada!

 

 We would be also open to the possibility that if they put up the use of the building,

we would share in all revenue. We can talk about that, it there was interest.

 

 

* Everyone travelling to Music City Manitoba on any type of Motor Coach Trips will receive a “MCM – Silver Jacket” 

         or whatever Denim Jacket we choose to use. (Where you can give us the best price).

An option that should be considered, as it provides the owners with a most favouable Benefit.

Not imperative, but it is another benefit that could make this easier to do: If they would consider it.

By agreeing to this, 1530 Gamble Place could become roughly a $1,000,000.00 per year or (whatever the value the building is per year). Sponsor for the 1st – 5 years.

Sponsorship is a Tax Write-off.

We still pay them the $3.00 per Music City Manitoba Bus Pass that we sell. – 312 days x 5000 x 50% x $3.00 = up to $2,340,000 per year, for 5 years. 

So, in essence they are getting like 4 times the value of the building, and can write off $1,00,000.00 per year, or more, as a tax deduction, without having to put up any cash. One should check with their accountants to confirm all that.
